1. General Terms

1. All services are provided in accordance with the agreed scope of work outlined in the proposal or agreement. 

2. The Client is responsible for providing accurate and complete information necessary for the Agency to perform the services. 

3. The Agency reserves the right to refuse service or terminate any agreement if the Client violates these terms.

2. Payment Terms

1. Payment must be made as per the terms outlined in the invoice or agreement. 

2. Late payments may result in service delays, suspension, or additional fees. 

3. All fees are non-refundable unless specified otherwise in writing.

3. Intellectual Property

1. The Agency retains ownership of all materials, methodologies, and intellectual property developed during the project unless explicitly transferred to the Client. 

2. Upon full payment, the Client will receive the rights to the final deliverables. 

3. The Client guarantees that any content provided does not infringe on any third-party rights.

4. Confidentiality

1. Both parties agree to keep all confidential information shared during the course of the agreement private and secure. 

2. Confidential information may not be disclosed to any third party without prior written consent.

5. Service Delivery and Deadlines

1. The Agency will strive to meet all deadlines specified in the agreement but cannot be held liable for delays caused by unforeseen circumstances or third-party dependencies.

2. The Client must provide timely feedback and approvals to ensure project timelines are met.

6. Liability

1. The Agency is not liable for any damages, losses, or claims resulting from the Client’s use of the services provided. 

2. The Agency will not be responsible for any issues arising from third-party services or platforms used during the course of the project.

7. Termination

1. Either party may terminate the agreement with 30 days’ written notice. 

2. Upon termination, the Client is responsible for paying for all completed work and any work in progress.

8. Governing Law

1. These terms and conditions are governed by and construed in accordance with the laws of the jurisdiction where the Agency is registered. 

2. Any disputes shall be resolved through arbitration or in the courts of the same jurisdiction.

9. Amendments

 The Agency reserves the right to amend these terms and conditions at any time. Clients will be notified of significant changes.

10. Acceptance

By engaging the Agency’s services, the Client acknowledges that they have read, understood, and agreed to these terms and conditions.
